Welcome to BeeSocials ("BeeSocials," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the BeeSocials platform, website located at www.beesocials.com, mobile applications, APIs, software, artificial intelligence services, automation tools, and all related products and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement.

If you are using BeeSocials on behalf of a business, agency, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

BeeSocials provides cloud-based software that may include:

  • AI-generated content
  • Social media scheduling
  • Publishing automation
  • Analytics
  • Team collaboration
  • Agency management
  • Client workspaces
  • Marketing workflows
  • CRM functionality
  • AI assistants
  • Image generation
  • Video generation
  • API integrations
  • Third-party platform connections

Features may change at any time.

3. Artificial Intelligence Services

BeeSocials uses artificial intelligence to generate recommendations, text, captions, hashtags, marketing strategies, workflows, graphics, images, and other content ("AI Output").

No Guarantee of Accuracy

AI Output is generated automatically. BeeSocials makes no representations or warranties regarding:

  • accuracy
  • completeness
  • legality
  • originality
  • usefulness
  • compliance with advertising laws
  • compliance with platform rules
  • fitness for any purpose

AI Output is provided "AS IS" and "AS AVAILABLE."

Users are solely responsible for reviewing, editing, verifying, approving, and assuming responsibility for all AI-generated content before publishing or commercial use.

4. Input and Output Ownership

Your Input

You retain ownership of all information, prompts, documents, images, videos, branding assets, trademarks, business information, and other content you submit to BeeSocials ("Input").

You grant BeeSocials a limited, worldwide, non-exclusive license to process your Input solely for providing the Services.

AI Output

Subject to applicable law and your compliance with these Terms:

  • BeeSocials assigns to you all rights, title, and interest it may have in AI-generated Output created specifically for your account.
  • You are responsible for determining whether Output is appropriate for commercial use.

Third-Party Intellectual Property

Artificial intelligence can generate content similar to existing works. BeeSocials does not guarantee that Output:

  • is unique
  • does not infringe copyrights
  • does not infringe trademarks
  • is free from third-party claims

Users are solely responsible for reviewing Output before publishing or monetizing it. BeeSocials shall not be liable for any copyright, trademark, publicity, or other intellectual property claims arising from user use of AI Output.

5. AI Model Training and Platform Improvement

BeeSocials values customer privacy. Unless expressly disclosed otherwise:

  • BeeSocials does not use your private prompts, uploaded content, or confidential business information to train proprietary AI models.

BeeSocials may use anonymized, aggregated, de-identified, statistical usage information solely for:

  • improving software performance
  • security
  • analytics
  • bug fixes
  • feature development

No personally identifiable information is included in this process.

6. Third-Party AI Providers and APIs

BeeSocials integrates with third-party providers including, but not limited to: OpenAI, Anthropic, Google, Meta, X, LinkedIn, TikTok, YouTube, Instagram, Pinterest, Bluesky, and other API providers.

Availability of BeeSocials depends in part upon these third-party services. BeeSocials is not responsible for:

  • API failures
  • provider outages
  • revoked API access
  • platform policy changes
  • rate limits
  • discontinued features

7. User Accounts

Users must:

  • provide accurate information
  • maintain account security
  • protect passwords
  • notify BeeSocials of unauthorized access

Users are responsible for all activities occurring under their accounts.

8. Agency Accounts and Client Management

Agency plans permit management of multiple client workspaces.

Agencies represent and warrant that they possess all permissions necessary to upload, manage, publish, and process client content.

Agencies are solely responsible for ensuring client compliance with:

  • these Terms
  • applicable laws
  • platform policies

BeeSocials has no contractual relationship with agency clients unless separately agreed.

9. Seat Licensing

Each paid seat is licensed to one authorized user.

Account sharing, credential sharing, sublicensing, or unauthorized multi-user access is prohibited.

BeeSocials reserves the right to:

  • suspend accounts
  • require additional seat purchases
  • terminate subscriptions
  • audit account usage

10. Subscription Billing

Subscriptions automatically renew unless cancelled before the next billing cycle.

Fees are billed in advance. Users authorize recurring payments through the selected payment method. Prices may change with advance notice.

11. Refund Policy

Except where prohibited by law:

  • All subscription fees are non-refundable.
  • Cancellation stops future renewals only.

No refunds are provided for:

  • unused time
  • partial billing periods
  • feature changes
  • dissatisfaction with AI Output
  • reduced social media engagement

12. Acceptable Use

Users may not use BeeSocials to generate, publish, automate, or distribute content involving:

  • hate speech
  • harassment
  • discrimination
  • violent extremism
  • sexually explicit material
  • child exploitation
  • illegal activity
  • malware
  • phishing
  • fraud
  • deceptive impersonation
  • deepfakes intended to deceive
  • election misinformation
  • market manipulation
  • unlawful financial promotions
  • copyright infringement
  • trademark infringement
  • privacy violations

13. Platform Abuse

Users may not:

  • scrape BeeSocials
  • reverse engineer software
  • bypass security
  • overload servers
  • abuse APIs
  • use bots to exploit the platform
  • interfere with service availability

14. Social Media Compliance

Users are solely responsible for complying with the Terms of Service of every connected social media platform.

BeeSocials does not guarantee:

  • account growth
  • engagement
  • impressions
  • reach
  • algorithm performance

If a social media account is suspended, restricted, shadowbanned, demonetized, or terminated, BeeSocials bears no responsibility.

15. Intellectual Property

BeeSocials owns all rights in:

  • software
  • source code
  • trademarks
  • logos
  • interfaces
  • workflows
  • documentation
  • proprietary algorithms

No ownership is transferred to users.

16. Confidentiality

Users agree not to disclose confidential software, trade secrets, security methods, pricing, proprietary prompts, or technical documentation belonging to BeeSocials.

17. Data Security

BeeSocials implements commercially reasonable administrative, physical, and technical safeguards to protect customer information.

No internet-based system is completely secure. BeeSocials cannot guarantee absolute security.

18. Privacy

Use of BeeSocials is also governed by our Privacy Policy.

Additional documents, including our Data Processing Agreement (DPA), Cookie Policy, and Security Policy, are incorporated into these Terms by reference.

19. Limitation of Liability

To the fullest extent permitted by law, BeeSocials shall not be liable for:

  • lost profits
  • lost business opportunities
  • lost advertising revenue
  • lost followers
  • reputational damage
  • lost goodwill
  • business interruption
  • lost data
  • indirect damages
  • consequential damages
  • incidental damages
  • punitive damages
  • special damages

20. Maximum Liability

BeeSocials' total aggregate liability for any claim arising out of or relating to the Services shall not exceed the total subscription fees paid by the user during the six (6) months immediately preceding the event giving rise to the claim.

21. Indemnification

You agree to defend, indemnify, and hold harmless BeeSocials, its owners, officers, employees, contractors, affiliates, licensors, and partners from any claims, damages, liabilities, losses, judgments, penalties, costs, and attorneys' fees arising from:

  • your use of the Services;
  • your AI prompts or submitted content;
  • your publication or commercial use of AI Output;
  • your violation of these Terms;
  • your infringement of any intellectual property, privacy, publicity, or other rights;
  • any claim brought by your clients, customers, or end users; or
  • your violation of any third-party platform rules or applicable law.

If you use BeeSocials as an agency or on behalf of a client, you are responsible for ensuring your client's compliance with these Terms and will indemnify BeeSocials against claims arising from your client's use of the Services.

22. Service Availability

BeeSocials strives for high availability but does not guarantee uninterrupted or error-free service.

Maintenance, upgrades, outages, cyberattacks, or failures of third-party providers may temporarily interrupt access.

23. Termination

BeeSocials may suspend or terminate accounts for violations of these Terms or for conduct that threatens the security, integrity, or operation of the Services.

Termination does not relieve users of payment obligations incurred before termination.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

25. Dispute Resolution

Before filing any lawsuit, the parties agree to attempt to resolve disputes through good-faith negotiation.

If negotiation fails, disputes shall be resolved by binding arbitration in the State of Texas, except where prohibited by law.

26. Force Majeure

BeeSocials is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, labor disputes, internet outages, acts of government, war, terrorism, pandemics, or failures of third-party infrastructure.

27. Modifications

BeeSocials may modify these Terms at any time.

Material changes will become effective upon posting or other reasonable notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

28. Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement, Cookie Policy, and any applicable Order Form or Subscription Agreement, constitute the entire agreement between you and BeeSocials regarding the Services.
